Clients must provide accurate and complete information to facilitate the execution of services. Clients are responsible for maintaining access to any third-party accounts and platforms required for our services, such as website hosting, social media profiles, and advertising accounts.

4. Payment

Clients agree to pay the fees outlined in the agreed-upon proposal or contract. Payment terms and schedules will be specified therein. All fees are non-refundable, and failure to make timely payments may result in the suspension or termination of services.

5. Intellectual Property

Any intellectual property created or developed during the provision of our services, including content, designs, and strategies, shall remain the property of Growzenith unless otherwise agreed upon in writing. Clients may use these materials solely for the purpose of their business, and unauthorized use is prohibited.

6. Confidentiality

Both parties agree to treat all non-public information received during the course of the engagement as confidential. This includes but is not limited to strategies, financial information, business operations, and any proprietary information.

7. Termination

Either party may terminate the engagement with written notice if the other party breaches these Terms and Conditions. Upon termination, clients are responsible for any outstanding fees for services rendered up to the termination date.

8. Limitation of Liability

Growzenith shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use of our services or any issues arising from third-party platforms or services.

9. Indemnification

Clients agree to indemnify and hold Growzenith and its employees, contractors, and representatives harmless from any claims, liabilities, damages, and expenses arising from the use of our services or any breach of these Terms and Conditions.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction where Growzenith is based.

11. Modifications

Growzenith reserves the right to modify or update these Terms and Conditions at any time. Continued use of our services after such changes implies acceptance of the updated Terms and Conditions.

12. Entire Agreement

These Terms and Conditions constitute the entire agreement between Digital By Marketing and clients, superseding any prior agreements or understandings, whether written or oral.
